1. Eligibility; Business Use

You represent that you are at least 18 years old, have full authority to bind yourself and/or the entity you represent, and will use the Services for lawful business purposes only.

2. Changes to the Terms

We may update these Terms at any time in our sole discretion. Changes are effective upon posting, unless a later date is stated. Your continued use constitutes acceptance of the updated Terms.

3. Accounts & Security

You must provide accurate and complete information and keep it updated. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials. Notify us immediately of any unauthorized use or security breach.

4. Services; No Legal, Tax, or Accounting Advice

NovaPro is not a law firm, tax advisor, or accounting firm and does not provide legal, tax, or accounting advice. Content and materials are for informational and educational purposes only and are not a substitute for professional advice. You are solely responsible for decisions, filings, compliance, and outcomes.

5. Funding & Financial Programs (If Applicable)

Any examples of funding amounts, timelines, approvals, rates, or terms are illustrative only and not guaranteed. Eligibility, approval, underwriting, and terms are determined by third-party providers subject to their criteria and applicable law. You authorize NovaPro and relevant third parties to collect, verify, and share information you provide for evaluation, due diligence, and compliance. No hard credit pull will occur without your express consent.

6. Formation & Compliance Services (If Applicable)

Formation packages involve document preparation and facilitation of filings with governmental authorities. State fees, expedition fees, and third-party fees are separate unless expressly stated. You are responsible for final review of filings, accuracy of information, ongoing compliance, franchise taxes, annual reports, registered agent obligations, and any post-formation requirements.

7. Third-Party Services & Links

The Services may reference, integrate, or link to third-party products or websites. NovaPro does not control and is not responsible for third-party content, terms, policies, security, or performance. Use of third-party services is at your own risk and subject to their terms.

8. User Content; License

If you submit content (e.g., forms, messages, uploads, testimonials), you grant NovaPro a worldwide, non-exclusive, royalty-free license to host, use, reproduce, modify, and display such content solely to provide and improve the Services and as otherwise permitted by our Privacy Policy. You represent you have all necessary rights to grant this license and that your content is accurate, lawful, and non-infringing.

9. Acceptable Use

You will not: (a) violate law or rights of others; (b) submit false, misleading, or incomplete information; (c) attempt to circumvent security or access non-public areas; (d) interfere with the Services' operation; (e) use the Services to send spam or malicious code; (f) reverse engineer or scrape the Services except as expressly permitted by law; (g) use the Services to provide competing offerings.

10. Fees, Payments, and Refunds

Fees are as stated at checkout or in your order/statement of work. Government fees and third-party fees are separate unless explicitly included. Except as required by law or expressly stated by NovaPro in writing, fees are non-refundable once work commences or filings are submitted. We may suspend or terminate Services for non-payment.

11. Marketing, Communications & E-Signature Consent

By submitting contact information, you consent to receive transactional messages, service notices, and—if you opt in—marketing communications by email, phone, and SMS. Message/data rates may apply. You may opt out of marketing at any time. You consent to do business electronically and to use electronic signatures and records; paper copies are available upon request where required by law.

12. Privacy & Data

Our collection and use of personal data are described in our Privacy Policy, which is incorporated by reference. You are responsible for obtaining any necessary consents from your personnel or clients before providing their data to NovaPro.

13. Compliance; Sanctions; KYC

You represent that you/your entity are not located in, organized under the laws of, or ordinarily resident in any embargoed or restricted territory and are not on any OFAC or similar sanctions list. NovaPro may perform identity verification, KYC, anti-fraud, and compliance checks and may refuse, suspend, or terminate Services to comply with applicable law or policy.

14. Intellectual Property

The Services, software, designs, text, graphics, logos, trademarks, audio/video, and other materials are owned by NovaPro or its licensors and are protected by IP laws. Except for limited rights to access and use the Services under these Terms, no rights are granted. All rights not expressly granted are reserved.

15. Feedback

If you provide feedback, ideas, or suggestions, you grant NovaPro a perpetual, irrevocable, worldwide, royalty-free license to use and exploit it without restriction or compensation.

16. Beta Features (If Any)

Beta features are offered "as is" for testing only, may be changed or discontinued, and may be less reliable than generally available features.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NOVAPRO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR MEET YOUR REQUIREMENTS.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVAPRO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; (B) LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION; (C) SUBSTITUTE GOODS OR SERVICES; OR (D) ANY MATTER BEYOND NOVAPRO'S REASONABLE CONTROL. IN ALL CASES, NOVAPRO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (I) FEES YOU PAID TO NOVAPRO FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT OR (II) USD $500. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

19. Indemnification

You will defend, indemnify, and hold harmless NovaPro and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your content or submissions; (c) your breach of these Terms or applicable law; or (d) your dealings with third-party providers.

20. Suspension; Termination

We may suspend or terminate access to the Services at any time, with or without notice, for any reason, including suspected fraud, security risk, non-payment, or violation of these Terms. Upon termination, rights granted to you cease immediately; sections that by their nature should survive (including 4–5, 7–9, 11–21) will survive.

21. Governing Law; Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules, and applicable U.S. federal law. Subject to Section 22 (Arbitration), the exclusive venue for any permitted court action will be state or federal courts located in Laramie County, Wyoming, and you consent to personal jurisdiction there.

22. Binding Arbitration; Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator, seated in Cheyenne, Wyoming, in English, and governed by the Federal Arbitration Act.

Class/Collective Actions Waiver: You and NovaPro agree to arbitrate only on an individual basis. No class, collective, consolidated, or representative actions or arbitrations are permitted.

Injunctive Relief Carve-Out: Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its IP or confidential information.

Opt-Out: You may opt out of arbitration within 30 days of first acceptance of these Terms by emailing connect@novaprosolutions.io with subject "Arbitration Opt-Out."

23. Force Majeure

NovaPro is not liable for delay or failure to perform due to events beyond its reasonable control.

24. Assignment

You may not assign these Terms without our prior written consent. We may assign without restriction.

25. Notices

Send notices to the address above with a copy to connect@novaprosolutions.io. We may notify you via the email/address on your account or via the Services.

26. Entire Agreement; Order of Precedence

These Terms, any order forms/SoWs, and our Privacy Policy constitute the entire agreement. A duly executed order/SoW prevails over these Terms to the extent of conflict.

27. Severability; No Waiver

If any provision is held invalid, the rest remains in effect. Failure to enforce is not a waiver.

28. Headings; Interpretation; Time Limits

Headings are for convenience. "Including" means "including without limitation." Any claim must be filed within one (1) year of accrual or be barred to the maximum extent permitted by law.
